TERMS AND CONDITIONS
of booking the TFH Events Unit

This Agreement Is Made On The                        2010
 
Between
 
(Hereafter referred to as the ‘First Party’)
and

Their Finest Hour,
of 26 Kings Hill Avenue, Kings Hill, West Malling, Kent. ME19 4AE
(hereafter referred to as ‘TFH’
or the ‘Second Party’)
(Hereafter the First and Second Parties may be jointly referred to as ‘the Parties)

Whereby
  1. The First Party has requested the attendance and provision of certain services and personnel by The Second Party at an event (hereafter referred to as ‘The Event’) and
  2. TFH has agreed to provide such services to The First Party, subject to the terms and conditions laid out in This Agreement.
  3. The services shall be supplied by TFH to the First Party on a date or dates, (hereafter referred to as ‘The Term’)

It is now hereby agreed that:
  1. TFH, shall provide the minimum services and personnel specified in Schedule (1) of this agreement on the day(s) stated (The Term).
  2. The Second Party shall provide the facilities and services set out in Schedule (2) of This Agreement throughout The Term.
  3. At any time between the date of the confirmation of the booking by TFH booking and a day seven days prior to the start of The Event, subject to the inclusion of a further schedule being added to This Agreement by ‘The Parties’, the services supplied by TFH to the First Party may be increased beyond those specified in the First Schedule (subject to availability). In such cases, the provision of the additional facilities or services shall be agreed separately (in writing) between The Parties and added as Schedule (4) into This Agreement and such shall become subject to the terms and conditions of This Agreement upon signing.
  4. At all times, each Party shall provide to the other Party all reasonable co-operation and assistance to help ensure the success of The Event.
  5. TFH shall upon request provide suitable Press Statements, Photographs and Literature (as may be reasonably requested) to the First Party for publicity purposes.
  6. TFH hereby additionally agrees to liase (as may be reasonably requested) with any designated PR or Publicity department of the First Party.
  7. The First Party shall discharge the costs associated with the booking of TFH facilities and services strictly in accordance with the payment schedule provided within Schedule (3) of This Agreement.
  8. Upon request, the First Party shall provide without charge to TFH or its team members suitable overnight accommodation for up to two members of the TFH events team and secure overnight storage for the material objects of the Events Unit on the night prior to the Event and secure storage of the material objects of the Events Unit on the night after the event.
  9. Throughout the Event, the TFH events team shall be at liberty to display, promote and to sell TFH merchandise and services to members of the public attending the Event, such products specifically including TFH commemorative Books, DVDs, CDs, Toys, Models, Artwork, and Memorabilia.
  10. In the unlikely event of any circumstance beyond the reasonable control of TFH  preventing any aspect of the Events Unit attending The Event, TFH shall be at liberty to withdraw the provision of that specific section of the Events Unit.  In the unlikely event of such occurrence, the charge levied by TFH for the provision for such section of the facility or service shall be refunded in full.
  11. TFH shall make every reasonable endeavour to ensure that the facilities and services it is providing to the First Party shall be uninterrupted for the entire duration of the public opening time(s) of the Event.
  12. The First Party shall promote and advertise the participation of the TFH Events Team prior to and throughout the duration of the Event, including an editorial article or advertisement within the Event Programme (where one is being printed) without charge to TFH.  
  13. In the occurrence that The Event is cancelled, interrupted or curtailed for any reason after 30 days (thirty days) before the date of the commencement of the Event, TFH shall not be liable to refund the booking deposit made or any loss incurred by the second Party as a result of such an occurrence.
  14. The attendance of the TFH Events team shall be dependant upon the signing of this Agreement no less than seven (14) days before the commencement of the Event.
  15. This Agreement contains the entire agreement between the parties hereto relating to the facilities provided herein.
  16. Each of the parties hereto acknowledges that in agreeing to enter into this Agreement it or he has not relied on any Warranties representations or undertakings except those contained herein
  17. Any formal notice to be given hereunder shall be in writing and shall be left at or sent by recorded delivery post at the address set out herein or other such address of which notice in writing is given for that purpose at any time in the future. Such notices shall be deemed to have been served forty-eight hours after it has been posted and in proving such service it shall be sufficient to prove that the envelope containing the notice was properly addressed and posted as aforesaid.
  18. This Agreement and the documents to be entered into as provided herein shall be governed by and construed in accordance with English Law and the parties hereby submit to the non-exclusive jurisdiction of the English courts.
